Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Mimzie, Inc. ("Mimzie," "we," "us"). They cover the Mimzie desktop app, the Mimzie website, Mimzie accounts and cloud sync, and any related services we offer (together, the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Please read section 17. It requires most disputes to be resolved through individual arbitration and waives class actions.

1. Who can use Mimzie

You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Services.

If you use the Services for an organization, school, or employer, you confirm that you are allowed to accept these Terms for it. Your organization's own rules about the Services also apply to you. We may identify your organization as a Mimzie customer using its name and logo. You can ask us to stop at any time by emailing info@mimzie.com.

2. Your account

You need a Mimzie account for cloud sync and other account features. Give us accurate information and keep it current. Keep your sign-in method secure. You are responsible for activity on your account. Tell us at info@mimzie.com if you think someone has accessed your account without permission.

You may not share your account or let others use it. You may stop using the Services or ask us to delete your account at any time.

3. How Mimzie works

Mimzie is a desktop workspace where you and AI agents research, write, revise, and finish work together.

Agents you bring. Mimzie lets you use agents such as Claude Code, Codex, and Google Antigravity with your own account at each provider. Those agents run on your device under your provider account. Mimzie does not receive or copy your provider credentials, and it does not pay for or resell that usage. Your use of each agent is governed by that provider's terms and privacy policy, including how it handles your prompts, files, and outputs. Review those terms before you share confidential or regulated information with an agent.

The Mimzie agent. Where offered, the Mimzie agent can run on free models, on your own model provider login ("bring your own key"), or on paid Mimzie plans and usage billing described in section 9. Free and bring-your-own-key modes do not involve Mimzie billing; the model provider you choose processes your requests under its own terms.

Your files. Documents you open in Mimzie are working copies on your device. When you are signed in, Mimzie syncs your workspace to our cloud so you can recover it, keep revision history, and use it across devices. Section 4 and our Privacy Policy explain what we store.

We do not control third-party agents, model providers, websites, or integrations, and we are not responsible for their availability, pricing, accuracy, or behavior.

4. Your content

"Input" means anything you or your agents submit to the Services, such as documents, files, prompts, messages, sources, and comments. "Output" means what the Services or an agent produce in response. Together they are "Your Content."

You own Your Content. As between you and Mimzie, you keep all rights in your Input and own your Output. To the extent we have any rights in Output, we assign them to you. Output may be similar to output others receive, and this assignment does not cover anyone else's output.

Our license. You give Mimzie a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and use Your Content to provide, maintain, secure, develop, and improve the Services, including to train and evaluate models, and to comply with law. Our service providers may exercise this license on our behalf.

Training choice. You can ask us not to use Your Content to train models by emailing info@mimzie.com. This applies to content you submit after we process your request. It does not apply to feedback you send us or to content flagged for safety or abuse review.

Review. We may, but are not required to, review Your Content, using automated systems or people, to operate and improve the Services, enforce these Terms, and keep the Services safe.

Your responsibility. You confirm you have the rights needed to submit your Input and that your Input and use of the Services do not violate these Terms or anyone's rights.

5. Agent actions

Agents in Mimzie can take actions for you, such as drafting documents, proposing and applying edits, creating files, searching the web and academic databases, using integrations you connect, and browsing in Mimzie's built-in browser. Some actions ask for your approval first.

You are responsible for the actions you start or approve and for reviewing proposed changes before you accept them. Agents can make mistakes, misread instructions, or change content in ways you did not intend. Keep copies of important work outside Mimzie, and do not rely on the Services as the only copy of anything you cannot afford to lose.

6. Accuracy and responsible use

AI output can be wrong, incomplete, out of date, or misleading, even when it sounds confident. Citations and sources an agent suggests may not exist or may not support the claim made. Verify Output before you rely on it, publish it, or submit it.

Do not rely on the Services for medical, legal, financial, or other professional advice, or for decisions with legal or similarly significant effects on a person, without independent review by a qualified person.

Academic and professional rules. You are responsible for following the rules that apply to your work, including your school's academic integrity and AI use policies, your instructors' requirements, your employer's policies, and publication or citation standards. Do not present AI output as your own unaided work where those rules require disclosure.

7. Acceptable use

You may not, and may not help anyone else:

We may investigate suspected violations and take any action we consider appropriate, including removing content and suspending or terminating accounts, with or without notice.

Sensitive information. Mimzie is not designed for protected health information, government identification numbers, financial account credentials, or confidential third-party information you are not authorized to share. The Services are not HIPAA compliant. Do not submit this information.

8. Third-party services and websites

The Services work with third-party services, including AI agents and model providers, sign-in providers, integrations you connect through your agent, academic databases, and websites you visit in the built-in browser. Your use of them is governed by their own terms and privacy policies. We do not endorse or control them, and we are not responsible for their content, practices, or actions, or for any losses from your use of them.

9. Paid plans and usage billing

This section applies when you buy a paid plan or turn on usage billing.

Prices. Prices, included usage, and limits are shown in the app or on our pricing page before you buy. Prices do not include taxes unless stated; you are responsible for applicable taxes. Payments are processed by our payment processor, Stripe, under its terms.

Subscriptions renew automatically. Paid plans renew at the end of each billing period for the same period, and we charge your payment method at the start of each period until you cancel. You can cancel at any time in the app or by contacting info@mimzie.com. Cancellation takes effect at the end of the current period, and you keep access until then.

Included usage. Plans include a set amount of usage measured in short and weekly windows, as described at purchase. Unused included usage does not roll over and has no cash value.

Usage billing. If you turn on usage billing, usage beyond your plan's included amount is charged at the rates shown in the app. We invoice usage when it reaches the billing threshold shown in the app and at the end of each billing period. You set a monthly spending cap; we stop usage billing when you reach it. You authorize us to charge your payment method for all fees and usage you incur and to retry failed charges. If a payment fails, we may pause or end paid usage until it is resolved. If you dispute a charge with your bank without first contacting us, we may suspend your account while the dispute is open.

Price changes. We may change prices, included usage, and limits. We will give you at least 30 days' notice before a price increase takes effect for your plan. The new price applies from your next billing period. If you do not agree, cancel before then.

Refunds. Payments are non-refundable except where required by law or stated in these Terms. We may issue refunds or credits at our sole discretion, and doing so once does not oblige us to do it again. If we end your paid plan for reasons other than your breach of these Terms, we will refund the unused portion of the current period.

App stores. If you buy through an app store, its payment, renewal, and refund terms apply.

10. Software and updates

We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Mimzie desktop app for use of the Services under these Terms. The app may download and install updates. Some features may stop working until you update.

Parts of the app include open-source software. Where an open-source license conflicts with these Terms for that software, the open-source license controls. Notices are listed in the app and in our third-party notices.

11. Our rights and feedback

Mimzie and its licensors own the Services, including the software, design, and branding. Except for the rights we expressly give you, we reserve all rights. You may not use Mimzie's name or logos without our written permission.

If you send us feedback or suggestions, you give us a perpetual, irrevocable, royalty-free right to use them for any purpose without restriction or payment to you.

12. Beta features

Some features are labeled beta, preview, early access, or experimental. They may be incomplete, contain errors, lose data, or change or end without notice. They are provided as is.

13. Suspension and termination

You may stop using the Services at any time.

We may suspend or end your access if you violate these Terms, if your use creates security, legal, or safety risk, if a payment is overdue, if required by law, or if we stop offering the Services. Where practical, we will give you notice first. If you believe we made a mistake, contact info@mimzie.com.

After your account ends, we may delete Your Content stored in our cloud as described in our Privacy Policy. Working copies on your device stay on your device. Download anything you want to keep from the cloud before you delete your account. We may close free accounts that have been inactive for more than 12 months after giving notice.

Sections 6, 9 (for amounts owed), 11, and 14 through 19 survive termination.

14. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, MIMZIE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, THAT CONTENT WILL NOT BE LOST, OR THAT OUTPUT WILL BE ACCURATE. MIMZIE IS NOT RESPONSIBLE FOR LOSS OF OR CHANGES TO YOUR CONTENT, INCLUDING CHANGES MADE BY AGENTS. YOU USE THE SERVICES AT YOUR OWN RISK.

Some jurisdictions do not allow some of these disclaimers, so they may not apply to you.

15. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER MIMZIE NOR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MIMZIE FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

These limits do not apply to liability that cannot be limited by law. Some jurisdictions do not allow these limits, so they may not apply to you.

16. Indemnity

To the extent the law allows, you will defend and indemnify Mimzie and its officers, directors, employees, and agents from third-party claims, damages, and reasonable costs, including attorneys' fees, arising from your unlawful use of the Services, Your Content, your infringement of another person's rights, or your material breach of these Terms. We will give you reasonable notice of a covered claim and may control its defense. You may not settle a claim that admits fault for us or imposes obligations on us without our consent.

17. Dispute resolution

Talk to us first. Before filing a claim, you and Mimzie agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief you want to info@mimzie.com. We will send ours to your account email. If the dispute is not resolved within 30 days, either party may start a formal proceeding.

Arbitration. Except as stated below, any dispute relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration may take place by video, phone, written submissions, or in person as the rules allow. The AAA rules govern fees and costs.

Exceptions. Either party may bring an eligible claim in small claims court, or seek court relief for intellectual property infringement, unauthorized access, privacy violations, or urgent injunctive relief.

Mass filings. If 25 or more similar claims are filed against Mimzie by or with the help of the same law firm or organization, they will be administered in batches under the AAA's Mass Arbitration Supplementary Rules, and Mimzie's fees for them will be paid only as those rules require.

No class actions. You and Mimzie may bring claims only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. YOU AND MIMZIE WAIVE THE RIGHT TO A JURY TRIAL. If this class waiver is found unenforceable for a claim, that claim will be decided in court, not arbitration.

Courts. If a claim proceeds in court, the state and federal courts in Delaware have exclusive jurisdiction. If part of this section is unenforceable, the rest remains effective to the fullest extent allowed.

18. Copyright complaints

If you believe content in the Services infringes your copyright, send a notice to info@mimzie.com with: your contact information; a description of the copyrighted work; a description and location of the infringing material; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner, with your physical or electronic signature. We may terminate accounts of repeat infringers.

Content stored only on your device, or held by an AI provider you use, is not controlled by Mimzie.

19. General terms

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 17.

Changes to the Services. We may add, change, suspend, or discontinue any part of the Services. We will give reasonable notice before a change that materially reduces a paid plan, and if we discontinue a paid plan, we will refund the unused portion you prepaid.

Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms, our Privacy Policy, and any terms shown when you buy a plan are the entire agreement between you and Mimzie about the Services.

Other terms. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. You agree to receive notices and agreements electronically, and they satisfy any written-notice requirement. Notices to you may be sent to your account email or shown in the app.

20. Changes to these Terms

We may update these Terms as the Services change. Changes take effect when we post them, unless we say otherwise. We will provide additional notice before a material change takes effect when required by law. If you keep using the Services after changes take effect, you accept the updated Terms. If you do not agree, stop using the Services and delete your account.
